Attending:  Stephen Janes, Kate Griffith, Tara Gomez, Matt Murphy, Ross Rankin & Denise Shurtleff

  

EXPECTATIONS OF BOARD

·      BOARD MEMBERS ARE EXPECTED TO ATTEND 12 MEETINGS/YEAR

·      NEEDS TO BE SOME TYPE OF CONSEQUENCES FOR MISSED MEETINGS – IF MISS 2, THEN GOES TO THE BOARD FOR POSSIBLE EXPULSION CONSIDERATION

·      CONSIDER SETTING MINIMUM PARTICIPATION LEVELS TO ATTEND IN PERSON AND VIA CONFERENCE CALL

·      PEOPLE SHOULD BE HELD ACOUNTABLE ON COMMITTEES AND DEPENDING ON COMMITTEE, THERE NEEDS TO BE CEO/PRESIDENT OVERSIGHT

·      DEVELOP A CULTURE OF PERFORMANCE – AGENDA, TIMELINES, ROOM FOR NEW BUSINESS, BEING INVOLVED (WORK AND WISDOM), NEED TO CREATE A MINDSET OF SUCCESS, CREATE A BOARD THAT IS IN DEMAND AND HARD TO GET ON A LA NAPA

·      THE PRESIDENT OF THE BOARD SHOULD BE CONVERSING WITH BOARD MEMBERS WHO ARE SHOWING WANING OR LACKLUSTER ENTHUSIASM FOR THE BOARD

 

PROPOSED BY-LAW CHANGES

·      ADD BOARD MEMBERS FROM NON WINE INDUSTRY AND DEPENDING ON SIZE OF BOARD. THERE ALWAYS NEEDS TO BE A MAJORITY OF WINE MEMBERS ON THE BOARD

·      BOARD MEMBERS ARE EXPECTED TO ATTEND 12 MEETINGS/YEAR

·      NEEDS TO BE SOME TYPE OF CONSEQUENCES FOR MISSED MEETINGS – IF MISS 2, THEN GOES TO THE BOARD FOR POSSIBLE EXPULSION

·      DELETE THE POLITICAL PROHIBITION AND ADD A POLITICAL COMPONENT OR POLITICAL FLEXIBILTIY TO THE ORGANIZATION

·      ADD ABILITY TO VOTE OFF A BOARD MEMBER BY 2/3 VOTE?

·      LAWYERS

·      CFO (C&D STEVE PALMER, OR PERSON LIKE STEVE)

·      BANKS FOR FINANCIAL GUIDANCE

·      MARKETING/PR (LACEY OF MUSE, DECKERS EXECUTIVE, STACIE OF SOLTERRA STRATEGIES)

·      TOURISM PARTNER (VISIT SANTA BARBARA, VISIT SYV)

 

NEW BOARD ORIENTATION

·      SOMEONE NEEDS TO LEAD ALL NEW BOARD MEMBERS THROUGH A TRANSITION AND EXPLANATION OF EXPECTATIONS – SUGGEST EITHER PRESIDENT OR VICE PRESIDENT

·      JONATA, FOLEY, SEA SMOKE, TYLER

 

COMMITTEES

·      CURRENT - FINANCE, MEMBERSHIP, MISSION SB, EVENT, TOURISM

·      NEED – MARKETING/PR, FUNDRAISING

·      BOARD NEEDS TO SET EXPECTATIONS FOR COMMITTEES

·      COMMITTEE NEEDS A STRUCTURE, A REPORTING MECHANISM, MISSION STATEMENT/GOAL, COMMITTEE MAKE UP AS IN WHO IS ON IT, MAT MURPHY ON EACH COMMITTEE

*WE HAVE TO FIND THE BEST PEOPLE WITH THE BUDGET WE HAVE, TO MAKE THIS ORGANIZATION THE BEST POSSIBLE – ALISON LASLETT

·      EVERYONE COMES TO THE BOARD WITH AN INHERENT BIAS – WE ARE PROTECTIVE BY NATURE

·      THE BOARD’S MISSION THOUGH IS TO PROTECT THIS COUNTY

·      WITHOUT A SOLID PLAN AND BOARD DIRECTION, WE ARE JUST TAKING STABS AT THINGS BEING RE-ACTIVE INSTEAD OF PRO-ACTIVE

·      ROSS TO LEAD THE 2018 BUDGETS PREPARTION WITH ROUGH SENSE OF BUDGETS AVAILABLE PRIOR TO JANUARY 2018 STRATEGIC PLANNING
